Job Summary
Diode Ventures, LLC is a wholly-owned subsidiary of Black & Veatch which operates globally. Diode provides turnkey asset development services, including sourcing capital. Diode’s targeted industries include energy and telecommunications, data centers and food infrastructure. Its structure is set up to be a complete provider, from project origination through operations and maintenance. Diode consists of experienced developers, finance experts with backgrounds in private equity and capital markets, and design and construction leaders.
Key Responsibilities
In this role as a Business Counsel for Diode you will:
draft, review and assist in negotiation of project development contracts and other collateral agreements on a timely basis to maintain project schedules; conduct effective and skillful negotiations with sophisticated parties in multi-million-dollar transactions.
ensure project agreements comply with applicable law, company policies and standards, and that risks contained in these agreements are consistent with applicable business unit practices; and,
align the company’s obligations and responsibilities under its prime agreements with applicable subcontracts and purchase orders by identifying legal risks, operational gaps or contractual inconsistencies through skillful contract revisions to ensure the company’s business interests and objectives are preserved and protected.Function in a senior-level attorney capacity. Independently apply advanced legal techniques analysis and methods. Perform complex legal research and develop legal recommendations for senior managing counsel review. Manage collection, assimilation, and management of data. Perform legal duties following company methodology and quality requirements while adhering to budget and schedule.Proactively provide guidance and direction on legal design guides, standards, systems, and company policies. Assist in developing, maintaining and updating legal standards.
Communicate client interests and drivers to team members and develop approaches to accommodate these concerns.
Participate in development of litigation and claims strategy for assigned matters.
Manage interface between outside legal counsel and Diode professionals.
Typically support multiple projects on complex legal challenges. Serve as project attorney on domestic or international assignments.
May assist in the development and delivery of company-wide training.
Operate in accord with the company’s ASPiRE culture principles and maintain timely, professional and effective communications.
Other duties as assigned.

5-7 years’ project development experience.
Project development contracts and collateral agreements may include:
power purchase agreements
data center tenant lease agreements
fiber IRU agreements
development services agreements
land purchase/sale/lease agreements
membership interest/purchase-sale agreements
EPC and O&M agreements
engineering design/consulting due diligence services agreements
interconnection agreements
credit agreements
build-transfer agreements
joint venture and partnership agreements
limited/general partnership and shareholder agreements
LLC operating agreements
Minimum Qualifications
Education: Law degree required. Licensed to practice law in at least 1 jurisdiction
Experience : 5-12 years of experience
